These Additional Terms apply to nonprofits participating in the GrantAssist+ Program offered by uluad Marketing Group, LLC. They supplement—and where conflicting, supersede—uluad’s Standard Terms & Conditions.

1. Strategic Grant Targeting
uluad identifies and prioritizes grant opportunities that align with the Client’s mission, focusing on capacity-building or administrative grants intended to support operational, advertising, or program infrastructure needs. Grant selection is made at uluad’s discretion based on eligibility, timing, and likelihood of funding.

2. Grant Preparation, Submission & Tracking
uluad prepares, writes, and submits grant applications on behalf of the Client. uluad maintains a grant tracking calendar that includes submission deadlines, funder review periods, reporting requirements, and estimated disbursement timelines. Where permitted by the funder, uluad may submit applications directly on the Client’s behalf.

3. Post-Award Reporting & Compliance Assistance
If a grant is awarded, uluad assists with required reporting, deliverable tracking, and funder communications within the scope of GrantAssist+. The Client agrees to provide all required programmatic, financial, and narrative information in a timely manner. Assistance with reporting does not transfer ultimate responsibility for accuracy, completeness, or timeliness away from the Client.

4. Client Cooperation Requirements
The Client agrees to:

• respond promptly to information requests;
• provide required documents, approvals, and signatures;
• supply accurate organizational and program information; and
• notify uluad of any changes affecting eligibility, operations, or compliance.

Delays or incomplete cooperation may impact grant quality, submission timing, reporting outcomes, or advertising performance.

5. No Guarantee of Funding
All grant decisions—including approval, denial, award amount, conditions, and timing—are made solely by the funder. uluad does not guarantee that any grant will be awarded, funded, renewed, or paid on a specific timeline.

6. Program Scope Limitations
GrantAssist+ includes grant research, grant writing, funder communication, administrative support, compliance assistance, and grant-funded Google Ad Grant and Google Ads management. uluad does not operate, manage, or deliver the Client’s programs, services, or mission-related activities.

7. Service Duration Based on Awarded Funds
GrantAssist+ services and grant-funded advertising management continue only for the duration supported by the actual dollar amount awarded to the Client and transferred to uluad. If the awarded amount funds fewer months than anticipated, service duration is adjusted accordingly. Services beyond the funded period require a new agreement.

8. No-Funding Termination Policy
If uluad is unable to secure a capacity-building or similar grant necessary to support participation in GrantAssist+, uluad may terminate the engagement at any time without further obligation. In such cases, the Client owes nothing and no advertising services will begin.

9. Transfer of Awarded Funds
If a funder awards funds intended to support GrantAssist+ or digital advertising services, the Client must transfer those funds to uluad within ten (10) business days of receipt. uluad may pause or terminate services if funds are not transferred within this timeframe. Grant-funded advertising begins only after funds are received by uluad.

10. Tracking Code & Technical Responsibilities
uluad does not install or modify website, server-side, or backend code. The Client is responsible for installing Google Tag Manager, conversion tracking snippets, and any other required tags. uluad provides guidance but does not perform code deployment, website optimization, or GA4 management.

11. Authorization to Act on Client’s Behalf
By participating in GrantAssist+, the Client authorizes uluad to research, prepare, and submit grant applications; communicate with funders; request or provide documentation required for submissions or reporting; complete administrative and compliance tasks; and manage grant-funded Google Ad Grant and Google Ads activities.
This authorization remains in effect for the duration of the Agreement, including the grant preparation and review period and the entire term of grant-funded services.

12. Relationship to the Funder
Any grant awarded is a legal agreement solely between the funder and the Client. uluad is not a party to the grant agreement and does not assume the Client’s legal, financial, or compliance obligations under any grant award.

13. Grant Reimbursement & Funder Clawback Responsibility
If a funder requires the Client to return, reimburse, or repay any portion of a grant due to missed deadlines, noncompliance, scope changes, reporting deficiencies, or other funder-determined reasons, the Client remains solely responsible for such reimbursement.
uluad is not responsible for returning fees paid for services rendered in good faith during the grant period, nor for reimbursing the Client for funds returned to a funder, regardless of whether services were partially completed, fully completed, or terminated due to funder action.

14. Performance Dependency on Client Cooperation
Advertising performance and grant outcomes may be impacted if the Client does not implement recommended changes, provide approvals, update website content, add calls-to-action, or respond to requests in a timely manner. uluad is not liable for performance issues resulting from delayed, declined, or incomplete Client actions.

15. Reporting & Compliance Liability
While uluad provides reporting support within scope, the Client remains ultimately responsible for meeting funder reporting deadlines, requirements, and compliance obligations. uluad is not liable for penalties, clawbacks, or adverse funder actions resulting from late, incomplete, or inaccurate submissions.

16. Relationship to Standard Terms & Conditions
These GrantAssist+ Additional Terms supplement uluad’s Standard Terms & Conditions. Where a conflict exists, these GrantAssist+ Additional Terms take precedence.
